Provide legal advice for midstream business unit and/or corporate functions to achieve corporate financial and operational objectives, mitigate risks, and ensure compliance with business agreements and federal, state, local and industry specific laws and regulations.  May informally or formally provide direction and / or mentoring to others.

Scope:
-Deals with the business/function primarily through business/function leadership and VP level requests and interactions.
-Contributions have significant long-term strategic effects on the business with potential industry-wide ramifications.
-Actual scope is dependent on business that is supported and area of specialty.

Accountabilities:
-Ensuring contracts are up-to-date and protect Williams’ interests while complying with applicable laws, regulations and agreement terms.
-Providing advice and opinions on strategies and decisions and their legal ramifications
-Representing Williams’ interests to other parties
-Resolving issues and/or disagreements through negotiations/litigations with partners, opposing parties and government regulatory agencies
-Retaining and managing outside counsel and contractors
-Monitoring compliance to mitigate risks
-May develop the capabilities of lower level attorneys.
-Applies legal insight and business acumen to achieve commercial objectives, mitigate risks, and ensure compliance with business agreements and federal, state, local and industry specific laws and regulations to business units or functional groups.

Key Activities :
-Accurately assess and communicate (pursuant to internal SOX processes) exposure of claims and contingencies of publicly traded Master Limited Partnership and corporation

- Draft and negotiate commercial agreements for  midstream business ventures (including gathering, processing, fractionation, NGL transportation, and other midstream agreements) and other business units as needed
-Draft and negotiate Letters of Intent, Expressions of Interest, and other responses to Requests for Proposals from Williams Midstream’s customers
-Review and negotiate construction and services contracts for the Midstream’s  operations groups
- Advise on contract interpretation issues for commercial, operations, and technical (Engineering & Construction) clients.  Draft or review all communications that have legal impact or contractual consequence.
-Advise, prosecute or settle construction, commercial, and operations disputes in close coordination with clients
-Attend client internal and external meetings(with customers) as requested by clients.

-Technical Qualifications, Education and Experience:
-Law Degree and knowledge of substantive law
-Member of the Bar
- Ability to craft and implement innovative arguments and solutions to issues/client legal needs.
-Ability to acquire knowledge of Williams businesses
-Oral and written communications
-Drafting of contracts, motions, briefs, pleadings and opinions
-Legal research and analysis.
-Organization skills (i.e., time management / prioritization / multi-tasking)

-Ability to work well with others on teams comprised of many disciplines (technical, commercial, operations, accounting, finance, and legal) to achieve best result for the company
-Ability to work on complex projects independently with no supervision and minimal reliance on outside counsel.
-Basic word processing and PC computing skills
-Analytical and problem solving abilities
-Negotiation skills
-Minimum of 5 years of legal experience
