Responsibilities:

Williams Corporate Secreatary Legal has an opening for a Sr. Paralegal in the Tulsa, OK office. 

 

This position is accountable for delivering quality legal services to clients by providing professional legal support to in-house and outside counsel for corporate governance, board relations and securities filings matters.

 

Specific responsibilities may include but are not limited to:

•Maintaining corporate records for domestic and international companies

•Maintaining good standing of corporate entities in states of operation

•Supporting the preparation of filings with the Securities and Exchange Commission, including current reports on 8-K, quarterly reports, annual reports and proxy statements

•Responding to due diligence inquiries regarding corporate governance records

•Acting as the point of contact with transfer agents for public companies

•Acting as the point of contact with stock exchanges

•Interacting with In-house Counsel, Outside Counsel, Executive Officers, and Board Members

•Assembling and distributing materials for meetings of multiple boards of directors

•Supporting the scheduling and administration of meetings of multiple board of directors

 

 

Additional administrative duties may include but are not limited to:

•Providing assistance for attorneys in the Corporate Secretary Legal group of Williams Legal Department

•Composing correspondence

•Typing and editing agreements

•Scheduling appointments and meetings 

•Opening and maintaining files on certain matters and projects

•Processing, coding, tracking legal invoices, and researching and resolving billing issues

•Assisting with travel arrangements and reservations, including for board meetings

•Assisting in the efficient operation of the office

• Providing other support duties as assigned

Qualifications:

 

 

The successful candidate will possess a Paralegal Certificate from ABA-approved school and/or Certified Legal Assistant / Certified Paralegal designation from NALA and minimum of 5 years of Paralegal experience. 

 

Must be proficient at an advanced level of Microsoft Word, Outlook, and Excel.  Experience with matter management and document management software  is a plus.  Legal research skills required.  Technical expertise to manage electronic board book preparation and software for self-filing of Securities & Exchange Commission reports preferred.  Must possess ability to work in fast-paced, multi-task environment and strong communication and organizational skills . Occasional overtime required. 

 

Position will be filled at a grade level and salary range commensurate with experience.
